Vacation. Executive will be eligible to accrue a maximum of twenty (20) days paid vacation per year, in accordance with the Company's vacation policy, which shall be taken subject to the demands of the Company's business and Executive's obligations as an employee of the Company with a substantial degree of responsibility. A maximum of ten (10) vacation days per year may be carried forward into the first three (3) month of the next calendar year. All vacation days that are not used shall be forfeited.

Vacation. Executive shall be entitled to paid vacation in accordance with the Company's vacation policy as in effect from time to time, provided that, in no event shall Executive be entitled to less than four (4) weeks of paid vacation per calendar year. Executive shall also be entitled to paid holidays and personal days in accordance with the Company's practice with respect to same as in effect from time to time.

Vacation. The Employee shall be entitled to unlimited paid vacation during the Term; provided that the Employee is available by telephone during such periods of paid vacation. The Employee shall not be entitled to any accrued vacation upon termination of employment for any reason.

Vacation. Executive will be entitled to accrue and use paid vacation in accordance with the terms of the Company's vacation policy and practices, provided, however, that in no event will Executive's vacation accrual rate be lower than 3 weeks per year.

Vacation. Executive shall receive up to thirty paid vacation days every calendar year. Any portion of the unused annual vacation days shall be accrued and will accumulate, and may be used by the Executive at any time during its employment. 2 Section III. Termination.

Vacation. During each 12-month period during the term of this Agreement, the Executive may take such weeks of vacation time as authorized by the Bank's personnel policies and at such periods during each year as the Chairman and the Executive shall determine from time to time. Any unused vacation time will not roll over to the next 12-month period unless otherwise authorized by the Chairman. Vacation. The Executive will be entitled to the number of weeks of vacation each fiscal year equal to that of other executives at the Executive's level. 2 6. Benefits. In addition to the Base Salary and other compensation provided for in Section 3 and Section 4 above, the Executive shall be eligible to participate in such health and welfare benefit plans (including Executive's eligible dependents) and any qualified and/or non-qualified retirement plans of DeVry Group as may be in effect from time to time;... provided, however, that participation shall be subject to all of the terms and conditions of such plans, including, without limitation, all waiting periods, eligibility requirements, vesting, contributions, exclusions and other similar conditions or limitations. Any and all benefits under any such plans shall also be payable, if applicable, in accordance with the underlying terms and conditions of such plan document. Executive's participation in the foregoing plans and any perquisite programs will be on terms no less favorable than afforded to executives at the Executive's level, as in effect from time to time. Vacation. Employee shall be entitled to take four (4) paid weeks' vacation per year and the same holidays as provided for other members of the staff.

Vacation. Employee shall be entitled to accrue fifteen (15) days of paid vacation for each twelve (12) month period during the term of this Agreement, the dates of which shall be subject to the pre-approval of the Chief Executive Officer of the Company or his designee.
