Employee Benefits. Employee shall be eligible to participate with other employees of Corporation in all fringe benefit programs applicable to similarly situated employees generally which may be authorized and adopted from time to time by the Board, including without limitation: a qualified 401(k) and profit sharing plan, Corporation's Executive Deferred Compensation Plan ("the EDCP") and any other nonqualified deferred compensation plan, a disability income or sick pay plan, an accident and health plan (including ...medical reimbursement and hospitalization and major medical benefits), and a group life insurance plan. In addition, Corporation shall furnish to Employee such other "fringe" or employee benefits as are provided to similarly-situated key executive employees of Corporation and such additional employee benefits which the Compensation Committee of the Board or the Corporation's Chief Executive Officer shall determine to be appropriate to Employee's duties and responsibilities as Executive Vice President, Chief Financial Officer and Treasurer of Corporation, including, without limitation, reimbursement of legal and accounting expenses incurred by Employee in connection with the preparation of his employment or other agreements with Corporation and any expenses for legal, accounting or financial services incurred by Employee in connection with his employment. Any reimbursements made pursuant to the preceding sentence shall be paid as soon as practicable but no later than ninety (90) days after Employee submits evidence of such expenses to Corporation (which payment date shall in no event be later than the last day of the calendar year following the calendar year in which the expense was incurred). The amount of such reimbursements during any calendar year shall not affect the benefits provided in any other calendar year, and the right to any such benefits shall not be subject to liquidation or exchange for another benefit. Executive shall be entitled to participate in the employee benefit plans, including pension, medical, disability and life insurance (but excluding any severance plans) offered by the Company as in effect from time to time (collectively, "Benefit Plans"), on the same basis as those generally made available to other senior executives of the Company, to the extent consistent with applicable law and the terms of the applicable Benefit Plan. The Company does not promise the adoption or continuance of... any particular Benefit Plan and reserves the right to amend or cancel any Benefit Plan at any time. Employee Benefits. 4.1 Participation in Benefit Plans. During the Term, Executive shall be entitled to participate in such health, group insurance, welfare, pension, and other employee benefit plans, programs and arrangements as are made generally available from time to time to senior executives of the Company (which shall include health, life insurance and disability plans), such participation in each case to be on terms and conditions no less favorable to Executive than to other senior executives of the Company ...generally. 4.2 Vacations; Other. During the Term, Executive shall be entitled to participate in other benefits made available generally to other senior executives of the Company, such participation to be at levels, and on terms and conditions, that are commensurate with his position and responsibilities at the Company and that are no less favorable than those applying generally to other senior executives at similar levels of the Company. Notwithstanding the foregoing, Executive shall be entitled to annual vacation leave at not less than four weeks and such other time-off in accordance with the Company's policies. 4.3 Reimbursement of Expenses. The Company shall reimburse Executive for all reasonable business and travel expenses, incurred in the performance of his job duties and the promotion of the Company's business, promptly upon presentation of appropriate supporting documentation and otherwise in accordance with the expense reimbursement policy of the Company.
