Term of Agreement. This Agreement, unless earlier terminated by written consent of the parties hereto, shall continue in force until the earlier of: (i) the termination of the IPO, (ii) the SLP's purchase of an aggregate of $15,000,000 of Subordinated Participation Interests, and (iii) the REIT's receipt of gross offering proceeds of $125,000,000.

Term of Agreement. This Agreement shall commence on and as of the Effective Date and continue until Executive's employment has terminated and the obligations of the parties hereunder have terminated or expired or have been satisfied in accordance with their terms, or if earlier, upon the execution of a new employment agreement by the parties hereto (the "Term").
