Taxes. Variations of a "Taxes" Clause from Business Contracts

Taxes. (a) Withholding. The Participant acknowledges Company is entitled to withhold the amount of any tax attributable to any amount payable or Shares deliverable under this Plan, and agrees that (i) the Company may defer making payment or delivery if any income or other taxes due from the Participant with respect such tax may be pending unless and until indemnified to this Option or the its satisfaction. Alternatively, the Company may require such Participant to pay to the Company, in cash, promptly on demand, or make other arrangements satisfactory to the Company or any Affiliate regarding any tax or other effects or implications the payment to the Company of the Option, aggregate amount of any such taxes and other amounts required to be withheld.
