Survival Contract Clauses (6,236)

Survival. The representations and warranties contained in Section 3 of this Amendment shall survive the execution and delivery of this Amendment and the First Amendment Effective Date.

Survival. Sections 6, 7, 9, 10 and 18, and such other provisions hereof as may so indicate shall survive and continue in full force and effect in accordance with their respective terms, notwithstanding any termination of the Employment Period.

Survival. To the extent contemplated by this Agreement, the respective rights and obligations of the parties hereto shall survive and continue in full force in accordance with their terms notwithstanding the termination of Employee's employment with the Company.

Survival. The representations, warranties and covenants of the Executive contained in this Agreement will survive any termination of the Executive's employment with the Company and its affiliates.

Survival. Sections 6 through 26 shall continue to be in full force following the termination of the Employment Period.

Survival. The respective rights and obligations of the parties hereunder shall survive any termination of the Executive's employment hereunder, including without limitation, the Company's obligations under Section 6 and the Executive's obligations under Section 7 above, and the expiration of the Term of Employment, to the extent necessary to the intended preservation of such rights and obligations.

Survival. Notwithstanding any provision of this Agreement to the contrary, the parties' respective rights and obligations under this Agreement, will survive any termination or expiration of this Agreement or the termination of the Executive's employment for any reason whatsoever.

Survival. The rights and obligations of the parties under this Agreement shall survive as provided herein or if necessary or desirable to accomplish the purposes of other surviving provisions following the termination of Executive's employment with the Company, regardless of the manner of or reasons for such termination.

Survival. Sections 5 through 19 and Sections 22 through 27, inclusive, shall survive and continue in full force in accordance with their terms notwithstanding the termination of the Employment Period.

Survival. Subject to any limits on applicability contained therein, the provisions of Sections 11-17 and Sections 20-27 hereof shall survive and continue in full force notwithstanding any termination of this Agreement. Likewise, in the event that the Corporation or a Successor is obligated to make payments to Executive under this Agreement, and Executive dies before all such payments are made, then the balance of those payments shall be made to Executive's estate.
