This Agreement is intended to comply with or be exempt from Section 409A of the Code (together with any Department of Treasury regulations and other interpretive guidance that may be issued after the Effective Date, "Section 409A") and, to the extent applicable, this Agreement shall be interpreted in accordance with Section 409A.
