Base Rent shall be increased on each annual anniversary of the Rent Commencement Date (each an "Adjustment Date") by multiplying the Base Rent payable immediately before such Adjustment Date by the Rent Adjustment Percentage and adding the resulting amount to the Base Rent payable immediately before such Adjustment Date. Base Rent, as so adjusted, shall thereafter be due as provided herein. Base Rent adjustments for any fractional calendar month shall be prorated. (b) TI Allowance. For each of the following incremental levels of the TI Allowance disbursed in connection with the Tenant Improvements in the Premises, Tenant shall pay "TI Rent" in an amount equal to the amount (per rentable square foot per year) for such increment of TI Allowance on the schedule set forth below: TI Allowance (per rentable square foot) Incremental Increase in Base Rent(per rentable square foot) $0.00 - $55.00 $ 0.00 $55.01 - $70.00 $ 3.00 For example, if the entire TI Allowance was disbursed by Landlord, the initial annual Base Rent and TI Rent, collectively, would be $30.00 per rentable square foot of the Premises per year. Dolan ("CFD") and MSG (the "G550 Dry Lease Agreement") providing for the lease of MSG's Gulfstream Aerospace GV-SP aircraft, manufacturer's serial number 5264, United States registration N551CS (the "G550") by CFD, MSG shall deliver a statement showing the total number of hours of use of the G550 by CFD from July 1 of the preceding year to and including the True-Up Date. To the extent that the total number of hours of use of the Aircraft by MSG during such period is greater than CFD's use of the G550 for such period, MSG shall remit to Lessor as Additional Rent the sum per block hour set forth on Schedule 1 hereto for such hours in excess of CFD's use of the G550 (the "True-Up Hours"). In addition, the parties hereto acknowledge and agree that to the extent that discrepancies in hours of usage or other factors cause this arrangement, including the Rent and charges for True-Up Hours provided hereunder, to be economically unfair to one party, the parties will work together in good faith to adjust these fees to achieve a more equitable arrangement. Pursuant to that certain Aircraft Dry Lease Time Sharing Agreement, dated effective as of May 22, 2017, July 1, 2018, between Charles F. Dolan ("CFD") and MSG (the "G550 Dry Lease 2 "MSG G550 Time Sharing Agreement") providing for the lease of MSG's Gulfstream Aerospace GV-SP aircraft, manufacturer's serial number 5264, United States registration N551CS (the "G550") "MSG G550") by CFD, MSG shall deliver a statement showing the total number of hours of use of the MSG G550 by CFD from July 1 of the preceding year to and including the True-Up Date.
