During the Employment Term, the Executive shall devote all of the Executive's business time, time and energy, business judgment, knowledge and skill and the Executive's best efforts to the performance of the Executive's duties with the Company, provided that the foregoing shall not prevent the Executive from (i) serving on the boards of directors (and board committees) of non-profit organizations and, (provided, that the Executive provides the Board with advanced written notice prior to accepting or serving in any such position), (ii) serving on the boards of directors (and board committees) of for-profit organizations (provided, that the Executive receives prior written approval of from the Board of Directors of the Company (the "Board"), other for profit companies, (ii) Board, which shall not be unreasonably withheld, delayed or conditioned), (iii) participating in charitable, civic, educational, professional, community or industry affairs affairs, (iv) spending a de minimis amount of time on activities that provide de minimis compensation to the Executive, and (iii) (v) spending a de minimis amount of time managing the Executive's passive personal investments so long as investments; provided, such activities in the aggregate do not interfere or conflict with the Executive's duties hereunder or create a potential business or fiduciary conflict. conflict or otherwise violate Section 11 of this Agreement; provided further, each of the Executive's activities listed on Schedule A attached hereto is permitted under this Agreement so long as such activities listed on Schedule A do not materially interfere or conflict with the Executive's duties hereunder.
