Summary
This amendment updates the list of participating employers in the CFG Voluntary Executive Deferred Compensation Plan, effective January 1, 2022. The plan, managed by Citizens Financial Group, Inc., allows executives from the listed affiliated companies to participate in deferred compensation arrangements. All other terms of the plan remain unchanged. The amendment was executed by an authorized officer of Citizens Financial Group, Inc. on December 6, 2021.

Fourth Plan Amendment
Effective January 1, 2022, Schedule I to the CFG Voluntary Executive Deferred Compensation Plan Amended and Restated September 1, 2014 (the “Plan”), is hereby amended to read as follows:
