Summary
This amendment, effective March 4, 2020, updates the CFG Voluntary Executive Deferred Compensation Plan to include employees of Trinity Capital as eligible participants. The plan, originally amended and restated in 2014, now lists Trinity Capital among other participating employers. All other terms of the plan remain unchanged. The amendment is executed by Citizens Financial Group, Inc. through its authorized officer.

CFG Voluntary Executive Deferred Compensation Plan Third Amendment
The CFG Voluntary Executive Deferred Compensation Plan Amended and Restated September 1, 2014 (the “Plan”), is hereby amended to include employees of Trinity Capital.
