Vesting Schedule. Except as provided in Section 4, and subject to Section 5, the Restricted Stock Units awarded by this Award Agreement will vest in accordance with the vesting provisions set forth in the Notice of Grant. Restricted Stock Units scheduled to vest on a certain date, or upon the occurrence of a certain condition, will not vest in Participant in accordance with any of the provisions of this Award Agreement unless Participant will have been in Continuous Service from the Date of Grant until the date s...uch vesting occurs. Notwithstanding the foregoing, the Administrator (or any delegate thereof) shall have the sole discretion to determine when Participant is no longer providing Continuous Service for purposes of participation in the Plan and this award of Restricted Stock Units. The termination of vesting will apply regardless of whether you are entitled to a period of notice of termination which would otherwise permit a greater portion of your Restricted Stock Units to vest.
