The Depositor and the Underwriters acknowledge and agree that the only information relating to any Underwriter that has been furnished to the Depositor in writing by any Underwriter through the Underwriters expressly for use in the Registration Statement and the Prospectus (or any amendment or supplement thereto) and the Time of Sale Information consists of the following: (i) the penultimate paragraph of the cover page of each of the Preliminary Prospectus and the Prospectus and (ii) the first s...entence and the third sentence of the fourth paragraph and the fourth sentence of the sixth paragraph under the heading "METHOD OF DISTRIBUTION (UNDERWRITER CONFLICTS OF INTEREST)" in each of the Preliminary Prospectus and the Prospectus.
