Title and Job Duties. (a)Subject to the terms and conditions set forth in this Agreement, the Company agrees to employ you ("Employee") as the Chief Executive Officer of the Company ("CEO") reporting to the Board of Directors of the Company (the "Board"). In his capacity as CEO, the Employee shall have the duties, authorities and responsibilities as set forth in the Company bylaws, or as designated from time to time by the Board, as applicable.
