You will be employed by the Company, on a full-time basis, as its Chief Medical Officer and to serve as an officer with that same position of Parent, working out of the Company's headquarters located in San Diego, California. (b) Time Commitment; Outside Activities. You agree to perform the duties and responsibilities of your positions, and such other duties and responsibilities as shall from time to time be mutually agreed upon between you and the Supervising Officer. You agree that, while employed by the Company, you will devote substantially all of your business time and your best efforts, business judgment, skill and knowledge exclusively to the advancement of the business and interests of the Company and to the discharge of your duties and responsibilities for it; provided, however, it is agreed that you may participate in outside charitable, civic, educational, professional, community or industry activities to the extent such activities do not individually or in the aggregate interfere with your duties and responsibilities to the Company or create an actual or potential conflict of interest with the Company's business; provided, further, that your service on any outside boards (whether for profit or non-profit) shall require the prior consent of the Supervising Officer. You agree to abide by the rules, regulations, instructions, personnel practices and policies of the Company, as adopted and amended from time to time by the Company. (c) Transfer of Employment to Gossamer Services. Effective January 1, 2019, the Company will undertake an internal reorganization pursuant to which the employment of all employees will be transferred from Parent to Gossamer Services. As a result, effective January 1, 2019, Gossamer Services will be your employer of record. There will be no break in service as a 1 result of this transfer of employment. You will continue to work in your same position, with the same terms and conditions of employment, and with the same Supervising Officer, as is currently in effect. In addition, you will continue to participate in substantially the same employee benefit plans that you participated in prior to the transfer, with no immediate changes in benefits or coverage (unless you elect any such changes during open enrollment for 2019). Subject to your elections, all applicable benefits withholdings and elections will continue following the transfer of your employment. Except as described in Section 2(e) below, all other terms and conditions related to your employment will be assigned to Gossamer Services and will remain in full force and effect after the transfer of your employment.
