Term of Employment. The Executive has the authority to make organizational and policy changes to drive culture, performance and efficiencies. As Chief Operating Officer, the Executive will report directly to the Chief Executive Officer/President of the Company. (b) During the Employment Period, the Executive shall devote his full business time and best efforts to the performance of his duties hereunder and shall not engage in any other business, profession or occupation, for compensation or otherwise, which would conflict or interfere with the rendition of such duties either directly or indirectly, without the prior written consent of the Board, it being understood, however, that the Executive may (i) serve as an officer or director of or otherwise participate in educational, welfare, social, religious and civic organizations; (ii) deliver lectures or fulfill speaking engagements; (iii) manage personal investments; and (iv) with the prior consent of the Employers, serve on for-profit boards, in each case so long as such activities are consistent with the Employers' code of ethics as in effect from time to time and do not materially interfere with the Executive's employment or responsibilities hereunder.
