Term of Employment. The initial term of this Agreement shall be for the period beginning on the Effective Date and ending at midnight Eastern Time on the third anniversary of the Effective Date (the "Initial Term"). On the third anniversary of the Effective Date and on each subsequent anniversary of the Effective Date, this Agreement shall automatically renew and extend for a period of twelve (12) months (each such 12-month period being a "Renewal Term") unless written notice of non-renewal is delivered from either... party to the other not less than sixty (60) days prior to the expiration of the then-existing Initial Term or Renewal Term. Notwithstanding the foregoing, upon the occurrence of a Change in Control, this Agreement shall automatically renew and the term of this Agreement shall be for the period beginning on the date of the Change in Control and ending at midnight Eastern Time on the second anniversary of the date of such Change in Control (the "Change in Control Term"), and on the second anniversary of the date of the Change in Control and on each subsequent anniversary thereof, this Agreement shall automatically renew and extend for a period of twelve (12) months (each such 12-month period being a "Change in Control Renewal Term") unless written notice of non-renewal 2 is delivered from either party to the other not less than sixty (60) days prior to the expiration of the then-existing Change in Control Term or Change in Control Renewal Term. Notwithstanding any other provision of this Agreement, the Executive's employment pursuant to this Agreement may be terminated at any time in accordance with Section 6.
