In the event that any provision of the Restricted Stock or this Agreement is held illegal, invalid or unenforceable for any reason, such provision will be fully severable, but will not affect the remaining provisions of the Restricted Stock or this Agreement, and the Restricted Stock and this Agreement will be construed and enforced as if the illegal, invalid or unenforceable provision had never been included.
