"Investment Banking Services" means investment banking, financial advisory or any other services rendered by JONES to the Company in connection with any acquisitions and divestitures by the Company or any of its subsidiaries, including, without limitation, the sale of substantially all or any portion of the assets of the Company, whether by a sale of assets, the equity interests of the Company, merger or otherwise, and the acquisition or sale of any subsidiary, division or service area of the Company, or (iii) the public or private sale of debt or equity interests of the Company, or any of its affiliates or any similar financing transactions. (c) CloudCommerce and its Affiliates shall devote so much of their time to the activities of Parscale Creative as is necessary and appropriate to perform the Services hereunder. Services. The Company hereby employs Employee to render services as Chief Underwriting Officer of the Company, assuming and discharging such responsibilities as are commensurate with Employee's position and as are reasonably directed or requested by his/her direct Supervisor (as defined below) and the Chief Executive Officer ("CEO") of the Company and as are detailed in Exhibit A (the "Services").
