Section 409a. The amount of in-kind benefits provided or reimbursable expenses incurred in one taxable year shall not affect the in-kind benefits to be provided or the expenses eligible for reimbursement in any other taxable year (except for any lifetime or other aggregate limitation applicable to medical expenses). Such right to reimbursement or in-kind benefits is not subject to liquidation or exchange for another benefit. Section 409a. Third-Party Beneficiaries. Each member of the Company Group that is not a signatory to this Agreement shall be a third-party beneficiary of Employee's obligations under Sections 7-10 and shall be entitled to enforce such obligations as if a party hereto.26. Section 409a. Neither Fairmount nor Executive shall have the right to accelerate or defer the delivery of any such payments or benefits except to the extent specifically permitted or required by Section 409A; (b) The reimbursements described in subsection 3(c) shall be treated as exempt "reimbursements and certain other separation from service payments" within the meaning of Treasury Regulation Section 409A 1.409A-1(b)(9)(v), and any reimbursement or payment with respect to such benefits shall be made not later than December 31 of the Code, second calendar year following the Company determines that calendar year in which Executive is terminated; and (c) If, as of the date of Executive's Qualified Termination from Fairmount, Executive is a "specified employee" within the meaning of Section 409A(a)(2)(B)(i) 409A, then: (i) Each installment of the Code, then to the extent any payment or benefit that the Executive becomes entitled to payments and benefits due under this Agreement or otherwise that, in accordance with the dates and terms set forth herein, will in all circumstances, regardless of when the separation from service occurs, be paid within the Short-Term Deferral Period (as hereinafter defined) 3 shall be treated as a short-term deferral within the meaning of Treasury Regulation Section 1.409A-1(b)(4) to the maximum extent permissible under Section 409A.
