Sale and Purchase of Notes. Subject to the terms and conditions hereof, the Company hereby sells to the Investor, and the Investor hereby purchases from the Company, a secured convertible promissory note in the form attached hereto as Exhibit A (the "Note") in the principal amount of $130,000, for a purchase price of $130,000. Interest will accrue on the unpaid principal balance of the Note at the rate of six percent (6%) per annum. All principal and unpaid interest shall be due and payable on December 6, 2013.
