Right of Offset Clause Example from Business Contracts

Right of Offset. Notwithstanding any other provision of the Plan or the Agreement, the Company may (subject to any Applicable Law) at any time reduce the amount of any payment otherwise payable to or on behalf of the Participant by the amount of any obligation of the Participant to the Company or an Affiliate that is or becomes due and payable, and, by entering into this Agreement, the Participant shall be deemed to have consented to such reduction.
