Employee acknowledges and agrees that the Employment Agreement is hereby terminated, without further action by the Parties, as of the Separation Date and shall be of no further force and effect, and that the Company shall have no continuing obligations to Employee under the Employment Agreement as of the Separation Date. b. Employee acknowledges and agrees that the Restrictive Covenant Agreement shall survive and remain in full force and effect in accordance with its terms.
