The Stockholder agrees that, during the term of this Company Support Agreement, it shall not sell, assign, offer, encumber, dispose of, loan or otherwise transfer (each, a "Transfer"), or enter into any contract, option or other arrangement or understanding with respect to any Transfer of any of the Stockholder Shares or any interest in any of the Stockholder Shares unless the buyer, assignee or transferee thereof executes a joinder agreement to this Company Support Agreement in a form reasonabl...y acceptable to Buyer and the Company.
