Restricted Period and Vesting. Subject to the provisions contained in Sections 4, 5 and 6 hereof and Section 2 of the Notice, the Restricted Stock Units shall be deemed vested and no longer subject to forfeiture under Section 4 upon the Vesting Date and the satisfaction of all other applicable conditions as to the Restricted Stock Units (including the payment by the Grantee of all applicable withholding taxes).
