Representations. The Executive represents and warrants to the Company that (a) the Executive has the legal right to enter into this Agreement and to perform all of the obligations on the Executive's part to be performed hereunder in accordance with its terms, and (b) the Executive is not a party to any agreement or understanding, written or oral, and is not subject to any non-competition, non-solicitation, non-disclosure, restrictive covenant or other agreement, obligation or restriction, that, in either case, c...ould prevent the Executive from entering into this Agreement or performing, or impairing the ability to perform, all of the Executive's duties hereunder. The Company may terminate the Executive's employment immediately, and the Company will have no further obligations to the Executive, including any obligations contained in Section 8, if the representation made by the Executive under this Section 24(b) is false. The Executive expressly acknowledges and agrees that the Executive is strictly prohibited from using or disclosing any confidential information belonging to any prior employer or other third party in the course of performing services for the Company, and the Executive promises that the Executive shall not do so.
