Representation and Warranty. (a) The Insider represents and warrants to the Company that he has the full right and power, without violating any agreement to which he is bound (including, without limitation, any non-competition or non-solicitation agreement with any employer or former employer), to enter into this Letter Agreement and to serve as an officer of the Company and a director on the Company's Board of Director (the "Board"). (b) The Insider represents and warrants that such Insider's biographical information furni...shed to the Company (including any such information included in the Current Report on Form 8-K relating to the Insider's appointment and to be filed by the Company with the Securities and Exchange Commission (the "Commission")) is true and accurate in all material respects and does not omit any material information with respect to such Insider's background.
