Release of Claims by Employee. Employee agrees that the foregoing consideration represents settlement in full of all outstanding obligations owed to Employee by the Company and its current and former officers, directors, employees, agents, investors, attorneys, shareholders, administrators, affiliates, benefit plans, plan administrators, insurers, trustees, divisions, and subsidiaries, and predecessor and successor corporations and assigns (collectively, the "Company Releasees"). Employee, on Employee's own behalf and on beha...lf of Employee's respective heirs, family members, executors, agents, and assigns, hereby and forever releases the Company Releasees from, and agrees not to sue concerning, or in any manner to institute, prosecute, or pursue, any claim, complaint, charge, duty, obligation, demand, or cause of action relating to any matters of any kind, whether presently known or unknown, suspected or unsuspected, that Employee may possess against any of the Company Releasees arising from any omissions, acts, facts, or damages that have occurred up until and including the Effective Date of this Agreement, including, without limitation: a. any and all claims relating to or arising from Employee's employment relationship with the Company and the termination of that relationship; b. any and all claims relating to, or arising from, Employee's right to purchase, or actual purchase of shares of stock of the Company, including, without limitation, any claims for fraud, misrepresentation, breach of fiduciary duty, breach of duty under applicable state corporate law, and securities fraud under any state or federal law, or relating to or arising out of any agreement, employment agreement, policy, plan, understanding, promise or contract (whether express or implied, actual or alleged, written or oral, signed or unsigned, draft or final) including, but not limited to, the Employment Agreements, other than under the Stock Agreements; c. any and all claims for wrongful discharge of employment; termination in violation of public policy; discrimination; harassment; retaliation; breach of contract, both express and implied; breach of covenant of good faith and fair dealing, both express and implied; commission payments; promissory estoppel; negligent or intentional infliction of emotional distress; fraud; negligent or intentional misrepresentation; negligent or intentional interference with contract or prospective economic advantage; unfair business practices; defamation; libel; slander; negligence; personal injury; assault; battery; invasion of privacy; false imprisonment; conversion; and disability benefits; d. any and all claims under any federal, state, or local law (statutory or decisional), regulation, or ordinance, including without limitation any Claims under Title VII of the Civil Rights Act of 1964, the Americans with Disabilities Act, the Fair Labor Standards Act, the Colorado Anti-discrimination Act, and other statutes and the common law of the state of Colorado; e. any and all claims for violation of the federal or any state constitution; Page 4 f. any and all claims arising out of any other laws and regulations relating to employment or employment discrimination; g. any claim for any loss, cost, damage, or expense arising out of any dispute over the nonwithholding or other tax treatment of any of the proceeds received by Employee as a result of this Agreement; and h. any and all claims for attorneys' fees and costs. Employee agrees that the release set forth in this section shall be and remain in effect in all respects as a complete general release as to the matters released. This release does not extend to any obligations incurred under this Agreement, any of Employee's rights as an equityholder under the Stock Agreements, or any rights Employee may have to indemnification by the Company or its affiliates. This release does not release claims that cannot be released as a matter of law, including, but not limited to, Employee's right to file a charge with or participate in a charge by the Equal Employment Opportunity Commission, or any other local, state, or federal administrative body or government agency that is authorized to enforce or administer laws related to employment, against the Company (with the understanding that any such filing or participation does not give Employee the right to recover any monetary damages against the Company; Employee's release of claims herein bars Employee from recovering such monetary relief from the Company). Employee represents that Employee has made no assignment or transfer of any right, claim, complaint, charge, duty, obligation, demand, cause of action, or other matter waived or released by this section.

Release of Claims by Employee. Employee, on Employee's own behalf "Releasees"), from any and on behalf all existing claims, charges, complaints, liens, demands, causes of Employee's respective heirs, family members, executors, agents, action, obligations, damages and assigns, hereby and forever releases the Company Releasees from, and agrees not to sue concerning, or in any manner to institute, prosecute, or pursue, any claim, complaint, charge, duty, obligation, demand, or cause of action relating to any matters of any kind, whether presently liabilities, known or unknown, suspected or unsuspected, whether or not mature or ripe, that Employee may possess ever had and now has against any of the Company Releasees arising from any omissions, acts, facts, or damages that have occurred up until and including the Effective Date of this Agreement, including, without limitation: a. any and all claims relating to or arising from Employee's employment relationship with the Company and the termination of that relationship; b. any and all claims relating to, or arising from, Employee's right to purchase, or actual purchase of shares of stock of the Company, including, without limitation, any claims for fraud, misrepresentation, breach of fiduciary duty, breach of duty under applicable state corporate law, and securities fraud under any state or federal law, or relating to or Releasee arising out of or in any agreement, way related to Employee's employment agreement, policy, plan, understanding, promise with or contract (whether express separation from the Company, to any services performed for the Company, to any status, term or implied, actual condition in such employment, or alleged, written to any physical or oral, signed mental harm or unsigned, draft distress from such employment or final) including, non-employment or claim to any hire, rehire or future employment of any kind by the Company, all to the extent allowed by applicable law. This release of claims includes, but is not limited to, the Employment Agreements, other than under the Stock Agreements; c. any and all claims for wrongful discharge of employment; termination in violation of public policy; discrimination; harassment; retaliation; breach of based on express or implied contract, both express and implied; breach of covenant compensation plans, covenants of good faith and fair dealing, both express wrongful discharge, claims for discrimination, harassment and implied; commission payments; promissory estoppel; negligent retaliation, violation of public policy, tort or intentional infliction of emotional distress; fraud; negligent common law, whistleblower or intentional misrepresentation; negligent retaliation claims; and claims for additional compensation or intentional interference with contract damages or prospective economic advantage; unfair business practices; defamation; libel; slander; negligence; personal injury; assault; battery; invasion of privacy; false imprisonment; conversion; and disability benefits; d. any and all attorneys' fees or claims under any federal, state, or and local law (statutory or decisional), regulation, or ordinance, laws, regulations and ordinances, including without limitation any Claims under but not limited to Title VII of the Civil Rights Act of 1964, the Civil Rights Act of 1991, the Americans with Disabilities Act, the Fair Labor Standards Age Discrimination in Employment Act, the Colorado Anti-discrimination Older Workers Benefit Protection Act, the Worker Adjustment and Retraining Notification Act ("WARN"), or equivalent state WARN Act, the Employee Retirement Income Security Act, and other statutes the Sarbanes-Oxley Act of 2002. Employee understands that this release of claims includes a release of all known and unknown claims through the common law date on which this release of claims becomes irrevocable.Limitation of Release: Notwithstanding the state foregoing, this release of Colorado; e. any and all claims for violation of the federal or any state constitution; Page 4 f. any and all claims arising out of any other laws and regulations relating to employment or employment discrimination; g. any claim for any loss, cost, damage, or expense arising out of any dispute over the nonwithholding or other tax treatment of any of the proceeds received by will not prohibit Employee as a result of this Agreement; and h. any and all claims for attorneys' fees and costs. Further, nothing in this release of claims herein bars shall be construed to waive any right that is not subject to waiver by private agreement under federal, state or local employment or other laws, such as claims for workers' compensation or unemployment benefits or any claims that may arise after the date on which this release of claims becomes irrevocable. In addition, nothing in this release of claims will be construed to affect any of the following claims, all rights in respect of which are reserved:a.Any payment or benefit set forth in the Agreement;b.Any rights as a shareholder of the Company;c.Reimbursement of unreimbursed business expenses properly incurred prior to the termination date in accordance with policy of the Company;d.Claims in respect of equity compensation owned by Employee from recovering such monetary relief from or rights to LTIP or other equity awards;e.Vested benefits under the Company). general employee benefit plans (other than severance pay or termination benefits under general policy of the Company, all rights to which are hereby waived and released);f.Any claim for unemployment compensation or workers' compensation administered by a state government to which Employee represents is presently or may become entitled;g.Any claim that Employee either of the Companies has made no assignment breached this release of claims; andh.Indemnification as a current or transfer former director or officer of either of the Company or any of its subsidiaries (including as a fiduciary of any right, claim, complaint, charge, duty, obligation, demand, cause employee benefit plan), or inclusion as a beneficiary of action, any insurance policy related to Employee's service in such capacity.10. Amendment of Agreement. This Agreement may not be modified or other matter waived or released amended except by this section. an instrument in writing signed by Employee and an authorized representative of the Company.
