Recoupment Policy. Participant acknowledges and agrees that the grant of this Stock Award and the Participant's rights in the Shares are subject to the terms and conditions of the Company's Executive Incentive-Based Compensation Recoupment Policy as in effect on the Date of Grant (the "Policy").
