Prior Agreement. The Company and the Executive are parties to an Executive Employment Agreement dated December 31, 2009 (the "Prior Agreement"). The parties acknowledge and agree that the terms of this Agreement constitute the entire agreement of the parties with respect to the subject matter and supersede all prior agreements and amendments with respect thereto, including, without limitation, the Prior Agreement.
