Position and Responsibilities. Executive shall be employed and serve as General Counsel of the Company. Executive agrees that, at all times during her employment hereunder, Executive shall be subject to and comply with the Company's personnel rules, policies and procedures, including but not limited to ARC's and the Company's Insider Trading Policy (attached hereto as Exhibit A), Sexual Harassment Policy (attached hereto as Exhibit B), Executive Handbook (which has been provided to Executive) and Executive Officer Stock Owner...ship Guidelines (attached hereto as Exhibit C), in each case, as may be modified from time to time. Position and Responsibilities. The Employee shall continue to serve as Chief Executive Officer ("CEO") and Chairman of the Board of Directors of the Company (the "Board"). The Employee's principal place of employment will be located in metropolitan Los Angeles, California. The Employee shall be responsible for such duties as are commensurate with his office and as may from time to time be reasonably assigned to the Employee by the Board. Position and Responsibilities. Position. The Employee shall be employed by the Company in the position of Chief Financial Officer. The Employee shall be responsible for the Finance, Accounting and IT functions globally, as set out in the attached Job Description (which may change from time to time). Employee shall perform all duties and responsibilities as are normally related to such position in accordance with the standards in the industry. The Employee will report to the Chief Executive Officer of the Company, and the Employee's primary work location shall be in Marlborough, MA. Except upon the prior written consent of the Company, the Employee will not, during the Employment Period, (i) accept any other employment or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary advantage) that might interfere with the Employee's duties hereunder or create a conflict of interest with any of the Group Companies. 2.2.
