Positions and Duties. 1.1. Position. Subject to the terms and conditions hereof, you will be employed by the Company as its Chief Operating Officer, effective as of July 26, 2021 (the "Employment Date"). 1.2. During your employment by the Company, you shall not, without the express prior written consent of the Company, engage directly or indirectly in any outside employment or consulting of any kind whether or not you receive remuneration for such services, or other activity that relates to any line of business in which the Company or any of its affiliates are at that time engaged or plans to engage in, or that would otherwise conflict with your employment obligations, contractual duties, or fiduciary obligations to the Company; provided, however, that nothing in this Agreement shall prevent you from owning, in the aggregate, five percent (5%) or less of the outstanding equity interests of a company whose securities are traded on a national security exchange or on an over-the-counter market. 1.4.
