Positions and Duties. While this Agreement is in effect: (a) Executive shall report to the supervising officer identified on Schedule 1 attached hereto ("Supervisor"). (b) Executive shall be an employee of Ultra Resources. (c) Executive shall serve Ultra and the Subsidiaries in the Officer Capacities. (d) Executive agrees to devote his full business time and attention to the business and affairs of Ultra; provided, however, that Executive may also manage his personal, financial, and legal affairs and engage in other ...professional, charitable or community activities so long as such other activities do not conflict with Ultra's interests, interfere with Executive's duties and responsibilities to Ultra or the Subsidiaries, or violate any of Executive's duties and obligations hereunder. (e) Executive agrees to comply with and, where applicable, enforce the policies of Ultra and of the Subsidiaries, including, without limitation, such policies with respect to legal compliance, conflicts of interest, confidentiality, professional conduct and business ethics as are from time to time in effect. Executive shall cooperate with any investigation or inquiry authorized by the Board or conducted by a governmental authority related to the business of Ultra or any of the Subsidiaries or Executive's performance under this Agreement.View More
