Payment and Delivery. Payment of the purchase price for the Shares shall be made to each Selling Stockholder by Federal Funds wire transfer to an account specified thereby, against book-entry delivery of the Shares to you through the facilities of The Depository Trust Company ("DTC") for the account of the Underwriter.
