Partial Indemnity. If Indemnitee is entitled under this Agreement to indemnification by the Corporation for a portion of any Losses in respect of a Proceeding related to an Indemnifiable Event but not for the total amount thereof, the Corporation must nevertheless indemnify Indemnitee for the portion thereof to which Indemnitee is entitled.
