Ownership. Investor is acquiring the Debenture and Warrant as principal for its own account. Investor will not engage in hedging transactions with regard to the Securities unless in compliance with the Act. Investor will not resell, transfer or assign the Debenture or Warrant, and will resell the Conversion Shares only pursuant to registration under the Act or an available exemption therefrom.
