Non-Solicitation. During the Employment Period and for a period of twelve (12) months after termination of such employment (for any reason, whether voluntary or involuntary), Executive agrees that Executive shall not, except on behalf of the Company and in the furtherance of Executive's authorized duties hereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity: (a)solicit, entice or induce, or attempt to solicit, entice or induce, any customer, vendor, su...pplier, or business development partner (with the exception of legal service providers) to become a customer, vendor, supplier, or business development partner of any other person, firm, corporation or other entity with respect to products then manufactured, sold or under development by the Company or to cease doing business with the Company, and Executive shall not approach, assist or aid any other person, firm, corporation or entity for such purpose or authorize or knowingly approve the taking of such actions by any other person or entity; or (b)solicit or recruit, or attempt to solicit or recruit, any employee, consultant or independent contractor of the Company (with the exception of lawyers and legal professionals) to terminate employment or otherwise cease providing services to the Company or to accept employment with, render services to, or work for a third party, person, or entity other than the Company; and Executive shall not approach, assist or aid any such person, firm, corporation or other entity for such purpose or authorize or knowingly approve the taking of such actions by any other person or entity.
