Introductory. The stockholders of Magnolia Oil & Gas Corporation, a Delaware corporation (the "Company") listed in Schedule A hereto (the "Selling Stockholders"), agree severally with the Underwriters named in Schedule B hereto ("Underwriters") to sell to the Underwriters an aggregate of 7,500,000 outstanding shares (the "Firm Securities") of the Company's Class A Common Stock, par value $0.0001 per share (the "Securities"). The Firm Securities are herein collectively called the "Offered Securities".
