Indemnification Liability Insurance. The Bank shall indemnify Executive, to the fullest extent permitted by Pennsylvania law, with respect to any threatened, pending or contemplated action, suit or proceeding brought against him by reason of the fact that he is or was a director, officer, employee or agent of the Bank or is or was serving at the written request of the Bank as a director, officer, employee or agent of another person or entity.
