Grant and Acceptance of Award. The Company hereby indicates its award to the Participant that number of performance-based Restricted Stock Units (the "Units") set forth herein (the "Award"). Grant and Acceptance of Award. The Company hereby awards to the Participant that number of Restricted Stock Units set forth on the Signature Page of this Agreement (the "Units"). Each Unit represents the Company's commitment to issue to the Participant one share of Stock, subject to the conditions set forth in this Agreement. This award is granted pursuant to and is subject to the terms and conditions of this Agreement and the provisions of the Plan. The Participant hereby accepts the award of Units.

Grant and Acceptance of Award.
