Governing Law Venue Service of Process. This agreement shall be governed by and construed in accordance with the laws of the state of Connecticut. This agreement has been entered into in Litchfield County, Connecticut, and is performable for all purposed in Litchfield County, Connecticut. Each Pledgor consents to the jurisdiction of the Superior Courts of the State of New Jersey sitting in Union County, New Jersey and the U.S. District Court for the District of New Jersey sitting in Newark, New Jersey in connection with any dispute arising under this Agreement and hereby waives, to the maximum extent permitted by law, any ob...jection, including any objection based on forum non conveniens to the bringing of any such proceeding in such jurisdictions.
