Executive shall devote sufficient time and his best efforts, skill and attention to his position and to the business and interests of the Company; provided, that nothing herein shall preclude Executive, (i) subject to prior approval of the Board of Directors, from serving on the boards of directors of other for-profit companies, and (ii) from engaging in charitable activities including serving on the boards of directors of non-profit organizations, so long as, in each case, and in the aggregate,... such service and management does not conflict with the performance of Executive's duties hereunder.
