Upon presentation of such reasonable substantiation and documentation as the Company reasonably may specify from time to time, the Executive shall be reimbursed in accordance with the Company's expense reimbursement policy, for all reasonable and necessary out-of-pocket business business, travel and entertainment expenses incurred and paid by the Executive during the Employment Term in connection with the performance of the Executive's duties hereunder. 2 (d) Indemnification. The Company hereby agrees to indemnify the Executive and hold the Executive harmless to the maximum extent permitted under Delaware law and provided for under the organizational documents of the Company against and in respect of any and all actions, suits, proceedings, claims, demands, judgments, costs, expenses (including reasonable attorney's fees), losses, and damages resulting from the Executive's good faith performance of the Executive's duties and obligations with the Company. The Company will provide coverage to the Executive under a Directors & Officers liability insurance policy covering other executives of the Company.
