Entire Agreement and Amendment. This Agreement, the LTIP and any applicable award agreements under the LTIP contain the entire agreement of the parties with respect to the matters covered herein and supersede all prior and contemporaneous agreements and understandings, oral or written, between the parties hereto concerning the subject matter hereof; provided, however, Employee acknowledges that the terms of any agreements between Employee and any member of the Company Group that create obligations for Employee with respect to ...confidentiality, non-disclosure, non-competition or non-solicitation shall be complemented (and not superseded) by this Agreement and remain in full force and effect. In entering into this Agreement, Employee expressly acknowledges and agrees that Employee has received all sums and compensation that Employee has been owed, is owed or ever could be owed for services provided to any member of the Company Group through the date Employee signs this Agreement, with the exception of any unpaid base salary for the pay period that includes the date on which Employee signs this Agreement.
