Employment Duties. (a) Duties. Employee shall have such duties as are customarily performed and exercised by the Chief Executive Officer of a company with subsidiary operations, subject to the supervision by the Board, together with such additional duties as are reasonably assigned by the Board. During the Employment Period, Employee shall (i) disclose to the Company any business opportunity that comes to Employee's attention and that relates to the business of the Company or otherwise arises as a result of Employee's employment with the Company and (ii) not take advantage of or otherwise divert such opportunity for Employee's own benefit or that of any other person or entity without prior written consent of the Company. (c) Avoidance of Conflicting Obligations. Employee hereby acknowledges, agrees and represents that Employee's execution of this Agreement and performance of employment-related obligations and duties for the Company will not cause any breach, default, or violation of any other employment, non-disclosure, confidentiality, non-competition, or other agreement to which Employee may be a party or otherwise be bound. Moreover, Employee hereby agrees that Employee will not use in the performance of his employment-related obligations and duties for the Company or otherwise disclose to the Company any trade secrets or confidential information of any person or entity (including any former employer) if and to the extent such use or disclosure may cause a breach or violation of any obligation or duty owed by Employee to such employer, person, or entity under any agreement or applicable law. (d) Other Activities. During the Employment Period, other than as set forth in paragraph (b) of this Section 2, Employee will not, without the prior written consent of the Company, directly or indirectly, other than in the performance of his duties hereunder, render services of a business, professional or commercial nature to any other person or firm, whether for compensation or otherwise.
