Executive will be eligible to earn a performance bonus of up to 45% of the Executive's Base Salary (the "Performance Bonus") based upon the following criteria: (i) attainment of corporate objective(s) according to the milestones set forth on Schedule 1 attached hereto; and (ii) attainment of personal performance objectives according to the milestones set forth on Schedule 2 attached hereto. The achievement of and amount of the Performance Bonus as measured by the foregoing criterion shall be determined by the Compensation Committee of the Board of Directors (the "Committee") in its sole and absolute discretion. For 2016, the Performance Bonus was and shall be determined and payable as follows: fifty percent (50%) was determined by the Committee to have been fully earned and was paid on the date hereof and fifty percent (50%) will be paid on January 31, 2017 to the extent that it is determined to have been earned. Any subsequent year Performance Bonus criteria will be determined by the Committee and attached as an addendum to this Agreement and shall supersede any prior criteria.
