In the event that the Executive's employment with the Company terminates as a result of a termination by the Company for Cause or by the Executive without Good Reason at any time within a period of two (2) years following the Effective Date, the Executive shall be required to repay the pro-rata unvested portion of the advanced Cash Signing Bonus to the Company calculated using the number of months remaining in the two (2) years following the Effective Date.
