Duties of EXECUTIVE. EXECUTIVE's position with COMPANY shall be Chief Financial Officer. EXECUTIVE shall do and perform all services, acts, or things reasonably necessary or advisable to accomplish the objectives of his director report, Ann Hand, CEO & President. The COMPANY reserves the right to change the role and title of EXECUTIVE at its sole discretion.

Duties of EXECUTIVE. The Executive shall serve as Chief Financial Officer and shall perform the duties of an executive commensurate with such position, shall diligently perform all services as may be reasonably designated by the Board of Directors of the Company (the "Board") and shall exercise such power and authority as is necessary and customary to the performance of such duties and services. Duties of EXECUTIVE. 4.1. Nature and Substance. Executive shall provide such services and perform such duties, functions, and assignments as are normally incident to the position of Executive Vice President & Chief Financial Officer, and such additional functions and services as the Chief Executive Officer may from time to time direct. Duties of EXECUTIVE. (a) Executive shall serve in the capacity of Chairman and CEO and shall be subject to supervision by the Board of the Company. In such capacity, Executive shall have all necessary powers to discharge his responsibilities. (c) Executive shall observe and comply with the written rules and regulations of the Company respecting its business and shall carry out and perform the directives and policies of the Company as they may from time to time be stated to Executive in writing by the Chief Executive Officer or the Chairman of the Board of Directors. (d) Executive shall maintain accurate business records as may from time to time be required by the Company. Such records may be examined by the Company, at all reasonable times after written request is delivered to Executive. Any such document shall be delivered to the Company promptly upon request. (e) Executive agrees not to solicit or receive any income or other compensation from any third party in connection with his employment with the Company. (f) Executive's principal place of work shall be located remotely or as otherwise mutually agreed between the Executive and the Board of Directors.. Duties of EXECUTIVE. The duties of Executive shall include the performance of all of the duties and projects as may be assigned by the Chairman of the Board, the Chief Executive Officer and the Board of Directors of the Company. Executive shall perform all duties in a professional, ethical and businesslike manner. Executive shall be required to devote such time to the affairs of the Company as shall be necessary to manage such affairs.
