Delivery by the Company. As soon as practicable after receipt by the Company of notice of exercise in the form of Exhibit A hereto and full payment for the shares of Common Stock with respect to which the Option is exercised (which payment may also be made in accordance with a cashless exercise program implemented by the Company in connection with the Plan), the Company shall deliver to Optionee certificate(s) issued, or shall issue the shares in book-entry form, in Optionee's name for the number of Option Shares purcha...sed by exercise of the Option. If delivery is by mail, delivery of Option Shares shall be deemed effected when the stock transfer agent of the Company shall have deposited the certificates or notice of issuance in book-entry form in the United States mail, addressed to Optionee.
