Delivery and Payment. Delivery of, and payment for, the Notes shall be made at the office, on the date and at the time specified in Schedule II hereto, which date and time may be postponed by agreement between the Representatives, on the one hand, and the Company, on the other hand, or as provided in Section 8 hereof (such date and time of delivery and payment for the Notes being herein called the "Closing Date").
