Delegation of Authority Contract Clauses (37)

Delegation of Authority. The Compensation Committee of the Board of Directors has delegated to the Chief Human Resources Officer and her designees the authority to administer and interpret the 2021 LTIP, provided that such administration and interpretation is not contrary to the applicable Stock Incentive Plan, this 2021 LTIP, or any determination of the Compensation Committee.

Delegation of Authority. To the extent allowed by applicable law, the Committee may delegate to the Chief Executive Officer, to other senior officers of the Company or to other committees of the Board its duties under this Plan pursuant to such conditions or limitations as the Committee may establish, except that the Committee may not delegate the authority to grant Awards to, or take other action with respect to, Participants who are subject to Section 16 of the Exchange Act.

Delegation of Authority. The Committee may delegate any of its authority to grant Awards to Employees who are not subject to Section 16(b) of the Exchange Act subject to Paragraph 6(a) above, to the Board or the Chief Executive Officer of the Company, provided such delegation is made in writing and specifically sets forth such delegated authority. Delegation of Authority. The Committee may, in its sole discretion, delegate to the Company's Chief Executive Officer the authority (subject to the terms and conditions the Committee shall determine) to grant and administer awards to participants who are not Covered Employees.
